Terms of Use

This is a legal agreement (“Agreement”) between You and Great Lakes, Inc. (“Great Lakes”) for the use of the Great Lakes software. “You” refers to the individual who registered and provided Great Lakes their credit card or other payment mechanism for the Software or, if the Software is being purchased on behalf of an entity by an individual authorized to purchase the Software on behalf of such entity, then “You” refers to such entity. If You do not agree with the terms of this Agreement, do not use or download the Software. Copyright laws and international copyright treaties protect the Software and other intellectual property laws and treaties.

License

Great Lakes grants you a non-exclusive, non-transferable, non-sublicensable license to use the Service to integrate your software development tools and resources with the Great Lakes platform.

Restrictions

You agree not to:

• Use the Service for any unlawful purpose.
• Use the Service to violate the rights of any other person or entity.
• Use the Service to reverse engineer, decompile, or disassemble the Great Lakes platform.
• Use the Service to create a competing product or service.

Termination

Great Lakes may terminate your license to use the Service anytime for any reason.

Changes to Terms

GLDP may, in its sole discretion, revise and update these Terms from time to time. All changes are effective immediately when we post them and apply to all access to and use of the GLDP website afterward.

Intellectual Property

The GLDP website and all its content and services, including but not limited to text, graphics, logos, images, software, and video, are the property of GLDP or its licensors and are protected by United States and international copyright, trademark and other intellectual property laws. You agree not to copy, modify, distribute, transmit, publicly display, perform, reproduce, publish, license, transfer, sell, or create derivative works from any of the content or services on the GLDP website without the express written permission of GLDP.

Disclaimer of Warranties

The API is provided on an “as is” basis without any warranty of any kind, either express or implied. Great Lakes disclaims all warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Great Lakes shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the API, including but not limited to loss of profits, loss of data, or business interruption.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.

Entire Agreement

These Terms constitute the entire agreement between you and Great Lakes with respect to the API and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Severability

If any provision of these terms and conditions is held to be invalid or unenforceable, that provision shall be stricken from these terms and conditions, and the remaining provisions shall remain in full force and effect.
